Governance

Halifax Sexual Health Centre was incorporated in 1971. The organization is overseen by a volunteer Board of Directors, which is comprised of 8 to 12 volunteers. Members are elected for a one-year term of office, and at the end of the year, are eligible for re-election. All Board members must maintain a current membership in the organization.
 
The Board has the ultimate responsibility over the organization's operation, funds, and property. The Board is empowered to establish and repeal policies. A quorum for transacting business at a meeting of the Board of Directors is one-third of the Board members.
 
The President presides at all Board, Executive, and General meetings, and is an ex-officio member of all committees. The President ensures all Board functions are properly carried out, and represents the organization to the community.
 
The Vice President assumes authority in the absence of the President.
 
The Secretary ensures that the minutes of all meetings are prepared.
 
The Treasurer has custody of the organization’s funds, and keeps full and accurate accounts of all transactions.
 
The Past President ensures the new President is informed and comfortable in the transition to the new position.
 
Executive Director is an ex-officio member of the Board of Directors and the Executive Committee.
